Copyright, and all other proprietary rights, in the pages, graphics, design, text, sound recordings, and images of Mobile SinglePoint®, and in the screens presented to you, and in all material and information on Mobile SinglePoint®, is owned by U.S. Bank National Association, its parent, affiliates, or subsidiaries (collectively, "U.S. Bank") unless otherwise indicated. You may not modify, publish, transmit, create derivative works, or in any way exploit any of the content of Mobile SinglePoint®, in whole or in part. You may download copyrighted subject matter only for such use that is consistent with the terms and conditions of the Master Services Agreement or any other Agreement you may have with U.S. Bank. Any copying, redistribution, retransmission, publication, or commercial exploitation is prohibited except as otherwise expressly permitted under copyright law or by the express permission of U.S. Bank and then only with notices of U.S. Bank's proprietary rights. U.S. Bancorp, U.S. Bank and associated logos are registered trademarks and service marks of U.S. Bank National Association.

Use of Mobile SinglePoint®
You may use Mobile SinglePoint® for lawful purposes only. You are responsible for obtaining and maintaining all telephone, computer hardware, and other equipment needed for access to and use of Mobile SinglePoint® and all charges related to that equipment. You understand that U.S. Bank has the right at any time to change or discontinue without notice any aspect, feature, or function of Mobile SinglePoint®, including, but not limited to, content, hours of availability, and equipment needed for access or use. U.S. Bank reserves the right to change these Terms of Use without notice. The products and services described on Mobile SinglePoint® are available only in the United States and other countries where permitted by law. If you elect to sign-up for Mobile SinglePoint® with a foreign (non-United States) phone number, U.S. Bank makes no guarantee or assurance to your ability to use Mobile SinglePoint® to access your account or to conduct any transactions or perform any other business with Mobile SinglePoint®. Not all products and services offered through Mobile SinglePoint® will be available in all geographic areas. Your eligibility for particular products and services is subject to final determination and acceptance by U.S. Bank.

Third Party Content and Links to Other Internet Sites
U.S. Bank is a distributor (and not a publisher) of certain content that is supplied by third parties through Mobile SinglePoint®. Please refer to U.S. Bank's Online Privacy and Security Statement for an explanation on how we collect, maintain, and use confidential and proprietary information from visitors and users of our Web sites and software applications. By accessing, using, or browsing Mobile SinglePoint®, you acknowledge that you have read, understand, and agree to be bound by U.S. Bank's Online Privacy and Security Statement. If you do not agree, you should not use Mobile SinglePoint®. All remarks, suggestions, graphics, or other information communicated to U.S. Bank through Mobile SinglePoint® (collectively, a "Submission") will be the property of U.S. Bank. You acknowledge that you are responsible for whatever you submit, and you have full responsibility for the data, message, including its legality, reliability, appropriateness, originality, and copyright. Tools and Calculators
Mobile SinglePoint® contains financial tools and calculators. U.S. Bank provides these tools and calculators as a service to users, for educational purposes only. U.S. Bank does not guarantee the accuracy of the calculators or the results. U.S. Bank is not responsible for, and expressly disclaims all liability for, damages of any kind arising out of the use of the tools and calculators. U.S. Bank does not retain any information you enter into financial tools and calculators.

No Warranties
U.S. Bank does not represent nor warrant the accuracy, adequacy, completeness, or timeliness of the information, materials, products, and services on Mobile SinglePoint® or the error-free use of Mobile SinglePoint®. Mobile SinglePoint® and all information, materials, products, and services provided through Mobile SinglePoint® are provided "As Is" and "As Available" without warranty of any kind, either express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, non-infringement, and freedom from a computer virus.

Limitation of Liability
In no event will U.S. Bank or its subsidiaries, affiliates, contractors, or their respective employees be liable under any contract, tort, negligence, strict liability, or other claim for any direct, indirect, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses (even if advised of the possibility of such damages) whether caused by or resulting from (i) the use or the inability to use Mobile SinglePoint®, App content, or any products or services, or any failure of performance, error, omission, interruption, effect, delay in operation or transmission, computer virus, line system failure, loss of data, theft or destruction or unauthorized access to, or alteration or use of records, or loss of use related to Mobile SinglePoint® or any website operated by any third party, (ii) errors, inaccuracies, omissions, other defects in, untimeliness, or unauthenticity of information or content provided by, contained within, or obtained through Mobile SinglePoint®, or (iii) any other failure, action, or omission, and regardless of whether arising under breach of contract, tortious behavior, negligence, or under any other theory or cause of action.

Risk of Loss
In the event of a system failure or interruption, including but not limited to acts of god, your data may be lost or destroyed. Any transactions that you initiated, were in the process of completing, or completed before a system failure or interruption should be verified by you through means other than online to ensure the accuracy and completeness of those transactions. You assume the risk of loss of your data during any system failure or interruption and the responsibility to verify the accuracy and completeness of any transactions so affected.

Confidential Information
Any confidential information about your organization that is gathered in connection with Mobile SinglePoint® is governed by U.S. Bank's Online Privacy and Security Statement.

These Terms of Use and any operating rules for Mobile SinglePoint® established by U.S. Bank constitute the entire agreement of the parties with respect to the use of Mobile SinglePoint®, except, if applicable, as modified by the terms and conditions of any other agreement you may have with U.S. Bank regarding a product or service. These Terms of Use will be governed by all applicable Federal laws of the United States of America and the laws of the State of Minnesota (without regard to any choice of law provisions thereof).

U.S. Bank will not be deemed to have waived any of its rights or remedies under these Terms of Use unless a waiver is in writing signed by U.S. Bank. No delay or omission by U.S. Bank in exercising any rights or remedies will operate as a waiver of those rights or remedies or of any other rights or remedies. A waiver on one occasion will not be construed as a bar or waiver of any rights or remedies on future occasions.
